Both are saying "would be" when to use "seriez" and when to use auriez. Because they both are coming from etre and avoir,

The answer lies in the root phrase (before conjugation): 

- Etre surpris(e), to be surprised ; change the helping verb "être¨ to its conditional form, and you have je serais, tu serais, il serait, VOUS SERIEZ, etc.

- Avoir de la chance, to be lucky (to have good luck) ; change the helping verb "avoir¨ to its conditional form, and you have j'aurais, tu aurais, il aurait, VOUS AURIEZ, etc.

Janice is right. You use être or avoir according to what the sentence needs. Here's what I mean:

You are surprised. -- Vous êtes surprise. --> Vous seriez surprise.
You have a car. -- Vous avez une voiture. --> Vous auriez une voiture.

The confusion arises when, e.g., you use "to be" in English but avoir in French:

You are 40 years old. -- Vous avez quarente ans. --> Vous auriez quarente ans.
You are hungry. -- Vous avez faim. --> Vous auriez faim.
You are lucky. -- Vous avez de la chance. --> Vous auriez de la chance.
